Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Stock Sorted application ("Stock Sorted", the "app", "we", "us", "our"), operated by Josef Richter, based in the Czech Republic. By installing or using the app you ("you", the "merchant") agree to these Terms. If you do not agree, do not install or use the app.

1. The service

Stock Sorted lets you define shared stock and link Shopify product variants with consumption ratios, and it recalculates and syncs linked variant inventory when a linked variant sells. The app depends on Shopify's webhooks and Admin API to receive sale events and to write inventory levels back to your store.

2. Plans, billing, and refunds

Paid plans and any one-time purchases are billed through Shopify's Billing API and are subject to Shopify's billing terms. Plan features and limits are described in the app. Except where required by law, fees are non-refundable. You may cancel at any time by uninstalling the app; cancellation stops future charges but does not refund amounts already billed.

3. Your responsibilities

You are responsible for:

  • configuring shared stock, links, and consumption ratios correctly for your catalog;
  • reviewing and verifying inventory levels after setup and after significant changes;
  • maintaining an appropriate stock reserve and monitoring your store during high-volume or flash-sale events, where the timing limits described in Section 5 are most likely to matter;
  • your own compliance with applicable law and with your agreements with Shopify.

4. Inventory synchronization and third-party dependence

Stock Sorted synchronizes inventory in near real time, not instantaneously. It relies on Shopify and other third parties to deliver sale events (webhooks) and to accept inventory updates. The timing and delivery of Shopify webhooks, the availability of the Shopify Admin API, rate limits, and network conditions are outside our control. As a result there can be a delay between a sale and the corresponding inventory update, and during that window displayed availability may not reflect the latest sales.

5. Overselling, underselling, and inventory accuracy

Because of the timing and third-party factors described in Section 4, Stock Sorted does not guarantee that inventory will always be accurate, and does not guarantee against overselling or underselling, particularly during rapid or high-volume sales events. You acknowledge that overselling, underselling, inventory discrepancies, and the associated consequences (including cancellations, refunds, restocking, and fulfillment costs) are risks inherent in automated inventory synchronization, and that holding a stock reserve and monitoring your store are the appropriate ways to manage those risks. We are not responsible or liable for any overselling, underselling, lost sales, or inventory discrepancies.

6. Service provided "as is"

The app is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, timely, secure, or error-free, or that inventory calculations or synchronizations will be accurate or complete.

7. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost sales, lost revenue, loss of goodwill, or costs of substitute goods or services, arising out of or relating to the app or these Terms, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the app or these Terms will not exceed the greater of (a) the total fees you paid us for the app in the twelve (12) months immediately before the event giving rise to the claim, or (b) fifty US dollars (USD 50).

8. Indemnification

You agree to indemnify and hold harmless Josef Richter and Stock Sorted from and against any claims, damages, liabilities, and expenses arising out of your use of the app, your configuration of shared stock and links, or your violation of these Terms or applicable law.

9. Data and privacy

Our handling of data is described in our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-party services

The app depends on third-party services, including Shopify and our hosting and monitoring providers. Your use of Shopify is governed by your agreement with Shopify. We are not responsible for the acts, omissions, availability, or performance of third-party services.

11. Suspension and termination

You may stop using the app at any time by uninstalling it. We may suspend or terminate access to the app if you breach these Terms, if required to protect the service or other users, or if required by law. On uninstall, store data is deleted as described in the Privacy Policy.

12. Changes to the app and these Terms

We may modify the app or these Terms from time to time. When we make material changes to these Terms, we will update the "Last updated" date above. Your continued use of the app after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the Czech Republic, without regard to its conflict-of-laws rules, and the courts of the Czech Republic will have jurisdiction, except where mandatory consumer or local law provides otherwise. Nothing in these Terms limits any rights you may have that cannot be limited under applicable mandatory law.
